The Certificate in Business Law (the «Certificate»), awarded to qualified students of Lewis & Clark Law School upon graduation, recognizes the successful completion of their studies on the Business Law program. A student who meets the requirements of the certificate is entitled to a certificate called a Certificate in Business Law. Students also have the opportunity to focus their business law study in one of six designated sub-areas by meeting certain requirements, in which case the certificate will identify the relevant area as a «concentration». Students who believe they will meet the requirements must complete an application available from the Registrar. Students pursuing the certificate have the option (but not the obligation) to focus their certificate-related studies in one of the following sub-areas of business law: corporate law; Commerce; estate planning; Health legislation; and labour law. (Further specialisation opportunities arise in other areas of business law by completing one of the separate certificates in energy, innovation and sustainability law; intellectual property rights; International law; or tax law.) To be eligible for a concentration, students must complete the relevant program of study listed below while meeting all other certificate requirements. Courses can be taken in any order, unless one is a prerequisite to the other. Students cannot substitute any of the courses in the stream in question with an internship, even if the internship counts towards the basic certificate. However, students may replace a course taken at another law school or a course at Lewis & Clark that is not on the intended path, but essentially deals with the relevant sub-field, with the consent of the certificate administrator. If a student uses a course from another law school for this purpose, he or she cannot use another course from another law school to meet a certificate requirement. It is recommended that students obtain certificate administrator approval before enrolling in a course that is not automatically eligible if they intend to use the course for the concentration. Dual Certificate: Students cannot use credits from one class to meet certificate requirements if they use those credits to meet the requirements of another certificate at Lewis & Clark. Under no circumstances can students obtain a certificate in business law and a certificate in federal tax law, intellectual property law or energy, innovation and sustainability.

A student whose course and paper selection qualify for the Certificate in Business Law and a Certificate in Federal Tax Law, Intellectual Property Law or Energy, Innovation and Sustainability need only choose one of these certificates. This page describes the requirements for obtaining a certificate in business law and contains links to documents that must be submitted to the Office of the Registrar by February 1 for a graduation date in May or no later than October 31 for a graduation date in January. Certificate requirements for students who graduated before July 2022 can be found here. Students must write an in-depth research paper exclusively on one or more business law topics. To be eligible, the article must be a significant written product that demonstrates extensive research, the ability to synthesize and report on that research, the ability to conduct complex legal and critical analysis, and sophisticated writing skills. It must also be one of the following: (a) a written document to satisfy the course requirements in a class approved for the certificate, (b) an individual research paper of at least two semester hours, or (c) a written document to satisfy the course requirements in a course that is not specifically approved for the certificate. Participants who wish to respond to the write request with options (b) or (c) must have the permission of the certificate administrator. If certificate administrator approval is required, it is strongly recommended that you obtain this approval before writing the document. Works that are not written for graded credits do not meet this requirement. Students must maintain a cumulative grade point average of B (3.00) or better in courses selected as eligible for the certificate.

No credit transferred from another law school and accepted for a certificate, or no credit for a course taken on a credit or non-credit basis and approved by the certificate administrator, will be used to calculate the grade point average. Please note that program offerings and titles may change from time to time and the fact that a course is listed above does not necessarily mean that it will be offered during the period during which the student applies for the certificate. Classes that are not in the list may be considered optional for the certificate at the discretion of the certificate administrator. In exceptional cases, a combination of business law courses or a combination of business law courses and external experience in the field of a core course may be considered a substitute for a core course, unless a double credit is applied to the certificate requirements. Students must obtain certificate administrator approval prior to enrolling in a course or combination of courses that do not automatically meet the certificate requirements to ensure that the course(s) are qualified. Students must earn five additional credits in courses in the Business Law program or business-related articling or clinical. These electives may be obtained in one of the core courses listed above that are not used to meet the basic requirements of the course, or in one of the following additional courses or clinics: Internships: Students may complete two of the five elective courses required for the certificate using credits earned as part of an externship with an essential element of commercial law. with the consent of the certificate administrator. Prerequisites for concentration in the certificate Students who wish to obtain the certificate must complete 113 trade associations I. Ungraded courses: With the exception of external credits and if approved by the certificate administrator, no more than four credit units (including units transferred from another law school) used to qualify for the certificate may be taken on a credited/non-credit basis. Students looking to focus are encouraged to write the document used to fulfill their certificate writing requirement on a topic in their chosen subfield if they can find a faculty member to supervise them, but this is not a requirement. In some cases, achieving a certain concentration may not be possible because a mandatory course is not offered during the time window available to the student.
